    DEPARTMENT OVERVIEW

    UC Legal - Office of General Counsel (UCL - OGC) delivers ethical, timely, efficient and high quality legal services to the University of California ten campuses, six medical centers, and the Lawrence Berkeley National Laboratory, as well as to the Board of Regents, the President, the Chancellors and other officers of the University. Its services include prosecuting and defending litigation, drafting and negotiating agreements, providing advice, counsel and interpretation of laws, regulations and policies, and assisting with development of effective compliance and risk mitigation strategies to facilitate the University's complex operations. The Business, Transactions, and Innovation (BTI) practice group handles a broad range of business transactions including, but not limited to, transactions involving innovative research, joint ventures, collaborations, international activities, public finance, real estate, land use, construction, investments, intellectual property, laboratory affairs, energy, tax-exempt organizations, charitable giving, trusts and estates, and institutional advancement.

    POSITION SUMMARY

    The University of California cumulatively raises over $3 billion annually in private support.  Charitable giving is a mission-critical component of revenue to the campuses and has grown significantly in recent years in both volume and in complexity. This position provides substantial expertise in the legal matters of tax-exempt organizations, nonprofits, and charitable giving, including: formation, governance, operation, and termination of tax-exempt and nonprofit organizations; charitable trust law; structuring mergers, asset acquisitions, and affiliations; joint ventures among tax-exempt organizations, nonprofits, and for-profits; private inurement and private benefit rules; unrelated business taxable income and UBIT analysis; lobbying and political activity; complex charitable gifts; endowment; tax reporting; compliance. Knowledge of the following is advantageous: partnership tax, planned giving, and/or estate planning.

    Responsibilities require substantial knowledge of and the ability to apply federal tax law governing tax-exempt organizations, state nonprofit corporation law and the bylaws, policies and guidelines of The Regents to transact a variety of matters. Responsibilities also include drafting, reviewing and revising a variety of legal instruments involving the University's interests, including charitable gift agreements and planned giving instruments. This position will assist all campuses and campus foundations in these matters.  The hire will interact with donors, donors' counsel and other professional advisors, campus counsel and University Advancement personnel to achieve successful gift outcomes for the University. All team members are expected to actively participate in initiatives to promote diversity, equity and inclusion, whether at UC or in the community.

    Responsibilities

    80% CLIENT SERVICES

    • Provides substantial high-quality, timely, and solution-oriented expertise within the University in the tax-exempt organization, nonprofit, and charitable giving specialty practice area and independently handles a full range of legal matters and projects, including those of the highest complexity and significant importance and impact to the University.
    • Interprets complex facts and the law, as well as University policy and guidelines, in areas of moderate to high ambiguity.
    • Establishes effective relationships with key internal and external constituencies.
    • Recognizes strategic needs of organization and proactively builds relationships with appropriate stakeholders to ensure successful outcomes.
    • Serves as a trusted strategic partner with University business units, providing practical advice and alternative solutions to business issues.
    • Advises and renders opinions to clients with respect to the legal implications of establishing or changing policy.
    • Works with colleagues at the Office of the President or campus/medical center locations to develop and modify practices and procedures to conform with changing legal requirements.
    • Directly negotiates matters on behalf of The Regents.
    • May act as a liaison with outside counsel, and/or represent the University in administrative or court litigation.
    • Keeps informed on changing legislation and case law developments affecting overall operations of the University as they relate to the area of specialty.

    Experience
    Minimum of 8 years of relevant experience in a law firm or at an academic institution, corporation, or other entity is required.

    Advanced degree in a related area is required.


    Licenses and Certifications

    Must be a member in good standing of the California Bar. (Out-of-state hire would be afforded time to pass the Bar within a reasonable period.)


    SPECIAL CONDITIONS

    The person hired will be required to reside within California and report to work on-site at UC’s Office of the President (UCOP) located in Oakland, CA on a regular basis.  Current policy requires that a new employee work on-site at least two days a week on Tuesdays and Wednesdays (“anchor days”). In exceptional circumstances, approved by the General Counsel, candidates residing in or willing to relocate to California may be considered for a fully remote work arrangement.

    Client Representation:  

    • Provide legal advice and guidance to attorneys facing disciplinary proceedings, ensuring they fully comprehend their rights, obligations, and potential consequences Advise attorneys on ethical obligations, professional responsibility, and compliance with state bar association rules. 
    • Maintain regular communication with clients throughout the entire process, including the application/disciplinary process, providing timely updates, explaining case progress, and addressing any concerns or questions. 
    • Represent attorneys in proceedings by attending disciplinary hearings, oral arguments, and related events before state bar associations. Present compelling arguments, skillfully cross-examine witnesses, and introduce evidence to challenge allegations against attorneys and safeguard their professional reputations. 

    Case Investigation, Legal Documentation, and Presentation: 

    • Evaluate complaints filed against attorneys by reviewing pertinent documents, conducting witness interviews, and analyzing the facts and circumstances surrounding alleged ethical violations. 
    • Develop comprehensive defense strategies tailored to each attorney's unique situation. Prepare persuasive legal arguments, gather evidence, and compile supporting documents to effectively defend attorneys against allegations of ethical misconduct. 
    • Draft well-reasoned and compelling legal briefs, motions, responses, and other necessary documents required for the defense of attorneys facing disciplinary actions. Ensure all documents adhere to applicable rules and regulations. 
    • Engage in settlement negotiations with state bar associations when appropriate, aiming for favorable resolutions that protect the interests of the attorney while ensuring compliance with ethical standards. 
    • Collaborate closely with other attorneys and legal professionals within the firm to leverage their expertise, gather relevant information, and coordinate defense strategies.

    • May assist with the development of training materials, presentations, and passive communications to support the firm's growth and potential new client acquisition.

    WHAT YOU’LL BRING (Essential Qualifications): 

    Education:  

    • Juris Doctor (J.D.) degree from an accredited law school. 
    • Active membership in good standing with the state bar association. 

    Experience:  

    • 3+ years of experience practicing law, preferably with a focus on legal ethics, professional responsibility, or disciplinary defense. 
    • California State Bar experience preferred.

    DEPARTMENT OVERVIEW:

    UCLA’s Equity, Diversity & Inclusion Civil Rights Office (EDI-CRO) receives complaints and conducts investigations of all forms of discrimination, harassment, and sexual violence to uphold civil rights protections for the UCLA community including students, staff, faculty and non-faculty academic personnel as well as patients at UCLA Health.

     

    POSITION SUMMARY:

    Under the general oversight of the Assistant Vice Chancellor for Civil Rights, and in coordination with the Staff Diversity and EEO Compliance Director, Title IX Director, and Discrimination Prevention Office Director, the incumbent is responsible for the investigation and resolution of complaints of sexual harassment, sexual violence, and discrimination and harassment based on race, color, national origin, religion, sex, gender, gender expression, gender identity, gender transition status, pregnancy, physical or mental disability, medical condition (cancer-related or genetic characteristics), genetic information (including family medical history), ancestry, marital status, age, sexual orientation, citizenship, or service in the uniformed services, including protected veterans (brought by employees, students, patients or others) in the UCLA Health System and in the David Geffen School of Medicine ("DGSOM"). The incumbent will be located in the Civil Rights Office's Health Investigation Unit. The incumbent's job responsibilities will include: receiving reports and complaints; conducting initial assessment, intake and preliminary investigation; determining the appropriate process used in response to complaints (including alternative resolution and formal investigation); conducting prompt, equitable and impartial administrative investigations; making findings of fact and applying relevant policies in individual cases. The incumbent will draft and revise investigation reports. The incumbent will assist in maintaining database and records related to responses and investigations. The incumbent will assist in identifying, developing and integrating best practices and procedures into the complaint response and resolution process. The incumbent will also train UCLA Health System, and DGSOM, and UCLA employees and students regarding the interpretation of Title VI, Title VII, Title IX, the ADA, and the University's non- discrimination policies, as well as the University's obligations under these policies. The incumbent is a Campus Security Authority under the Jeanne Clery Disclosure of Campus Security Policy and Campus Crime Statistics Act and a Responsible Employee under the UC Policy on Sexual Violence and Sexual Harassment and the UC Non Discrimination Policy.

     

    DUTIES:

    Discrimination, Sexual Violence, and Sexual Harassment Complaints:

    1. Responsible for investigation of Title VI, Title VII, Title IX, ADA/504 and other discrimination and harassment complaints, as assigned by the Assistant Vice Chancellor for Civil Rights. 

    2. Interview employees, students, patients, and others who file discrimination, sexual harassment, or sexual violence complaints with the Civil Rights Office. Conduct follow-up interviews with appropriate management/supervisory personnel and relevant witnesses. Obtain and consider all relevant evidence. Review and analyze evidence. Write detailed, well-organized, publishable analytical reports, procedures and/or memos which apply relevant UC policy to the facts adduced during the investigation. 

    3. Assists with the alternative resolution of complaints of discrimination or harassment where appropriate.

    4. Consult with other units in the Civil Rights Office, UCLA Health System Human Resources, Office of Insurance and Risk Management, and/or other UCLA Health System or DGSOM departments and offices as appropriate, in resolution of complaints. 

    5. Act as liaison for the Civil Rights Office in response to requests from the Office of the General Counsel, or the University of California Office of the President to prepare for civil rights litigation. 

    6. Keeps appropriate records and maintains the confidentiality of all reports and complaints in accordance with UC policy and applicable laws related to record retention.

    7. Respond to requests for information from outside legal counsel retained by the Office of the General Counsel in preparation for civil rights litigation; be prepared to testify at hearings and trials. 

    8. Participate in and contribute to Case Management meetings with representatives from other Civil Rights Office units, as well as other departments/offices in UCLA Health System and the DGSOM. 

    9. Assist in both departmental and UCLA Health System and DGSOM concern resolution by bringing issues and potential concerns to the attention of senior management and by analyzing and making recommendations for solutions. 

    10. Represent the Civil Rights Office in various external human resources and civil rights professional organizations, and participate in their meetings, seminars, and workshops.

     

    Special Projects:

    1. Under the direction of the Assistant Vice Chancellor for Civil Rights, and in coordination with the Staff Diversity and EEO Compliance Director, Title IX Director, and Discrimination Prevention Office Director, undertake various special projects, investigate and analyze needs, collect and summarize information, present plans, and carry them out to conclusion.

     

    SKILLS, KNOWLEDGE, and ABILITIES:

    Required:

    - Working knowledge of federal and state regulations related to Title VI, Title VII, Title IX, ADA, and other state civil rights laws that apply to the public sector consistent with University of California policies and guidelines.

    - Deep and broad knowledge of federal and state law pertaining to discrimination, harassment, and sexual violence. Strong knowledge of case law and employment and education law trends.

    Title: Civil Remote Proceedings: When a Judicial Officer May Preside Remotely

    Summary: The Code of Civil Procedure requires the Judicial Council to adopt a rule that includes “standards for when a judicial officer, in limited situations and in the interest of justice, may preside over a remote court proceeding from a location other than a courtroom.” (Code Civ. Proc., § 367.10). The Trial Court Presiding Judges Advisory Committee recommends adoption of proposed rule 3.674 of the California Rules of Court to satisfy the statutory mandate.

    The proposed rule applies only in civil cases subject to Code of Civil Procedure section 367.75. The rule therefore does not apply in criminal proceedings, juvenile justice proceedings, or proceedings in matters identified in Code of Civil Procedure section 367.76 (civil commitments and other specified proceedings). The rule also does not apply when a judicial officer presides in person over a remote proceeding.

    DEPARTMENT OVERVIEW:

    The UCLA Office of the Campus Counsel (OCC) serves as the in-house legal office for the UCLA campus, including its professional schools. In that capacity, the OCC has created this web site to familiarize the UCLA community with our Office and its services. The OCC attorneys provide counsel and legal advice to officers, deans, faculty, and schools and departments of the University requiring legal assistance, and provide coordination and liaison between the campus, the UC Legal Office of the General Counsel in Oakland, and outside counsel engaged on behalf of the University. We hope this web site provides a valuable first resource for legal matters concerning UCLA.

     

    POSITION SUMMARY:

    Under the general direction of the Vice Chancellor, Legal Affairs, serving on the campus legal team in coordination with the University of California Office of General Counsel, this role provides advice on the wide range of legal questions associated with the administration, management and operation of UCLA, including but not limited to employment issues across campus, academic affairs, student affairs, business affairs, research and compliance, responding to complaints received from regulatory agencies, such as the OCR, DFEH, and EEOC, addressing issues of access to education (including allegations of disability discrimination), overseeing litigation and advising on risk management issues, public records, and University policies and procedures.

     

    DUTIES:

    1. Provides general problem solving and advice on a wide range of legal questions associated with the administration, management and operation of UCLA.

    2. Provides legal advice regarding issues relating to staff, academic personnel and employment issues in all segments of UCLA community.

    3. Provides legal advice on student-related matters such as FERPA, constitutional rights such as 1st and 14th Amendment questions, immigration issues, travel abroad, sports and recreation, disability accommodation, student conduct, and policy review.

    4. Provides legal advice on matters of research and compliance, workplace violence prevention, E-discovery, privacy and data protection, public records, EH&S/OSHA compliance, and other matters affecting the campus.

    5. Provides legal advice on intellectual property matters arising at UCLA, including copyright law, trademarks, Use of Name, Internet and digitization issues, and consents associated with each.

    6. Drafts documentation for wide range of academic, administrative, student and business matters; including review of contracts and MOUs.

    7. Oversees Employment and General Liability litigated matters involving UCLA in concert with the VC Legal Affairs.

    8. Reviews, evaluates, advises about, and revises proposed UCLA policy and Legal Affairs procedures, or revisions to current policy and procedures, obtaining consultation where appropriate.

    9. Coordinates review of and response to complaints received from regulatory agencies, such as the OCR, DFEH, and EEOC, as agreed with central campus human resources offices and client departments.

    10. Negotiates special transactions, including settlement agreements.

    11. Prepares or obtains legal opinions and advice as sought by UCLA administration.

    12. Prepares or directs the preparation of correspondence, documentation, reports and executive summaries as necessary.

    13. Develops strong working relationships with senior management and administrators at UCLA, and with administrators at UCOP as needed.

    14. Executes all other duties and responsibilities assigned by the Vice Chancellor Legal Affairs.

    15. Serves on campus wide committees as requested.

    16. Appears on behalf of the campus before administrative or judicial tribunals on an as-needed basis.

     

    SKILLS, KNOWLEDGE, and ABILITIES:

    Required:

    - J.D. Degree from an ABA accredited institution and active membership in good standing of the State Bar of California (or eligible for immediate membership).
